Terms of Service

The terms that govern your use of the Helm platform.

1. Agreement

By creating an account, accessing, or using Helm ("the Service"), you ("Customer," "you") agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you and Helm, founded and operated by Ty MacDougall in Halifax, Nova Scotia, Canada.

2. The service

Helm is a software platform designed to help independent restaurants manage scheduling, inventory, and operations through an AI-powered assistant. The Service is provided as a subscription, billed monthly, with no long-term contract required.

Important: Helm is a planning, communication, and analysis tool. We do not process payroll, file taxes, give legal or financial advice, or replace licensed professionals. For payroll processing, tax compliance, employment law questions, or workers' compensation matters, you must use a qualified payroll provider, accountant, or lawyer.

To use Helm, you must create an account and provide accurate, current information. You are responsible for keeping your login credentials secure and for all activity under your account. Notify us immediately at tmacdougall@helmai.ca if you suspect unauthorized access.

You retain all rights to data you input into Helm ("Customer Data"). By using the Service, you grant Helm a limited license to host, process, and display your Customer Data solely to provide the Service.

You are solely responsible for the accuracy, legality, and integrity of Customer Data you input. You represent that you have all necessary rights to share employee, supplier, and other operational data with Helm.

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Helm disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any content (including AI outputs) will be accurate or reliable.

9. Limitation of liability

To the maximum extent permitted by law, Helm and its founder shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Service.

Helm's total cumulative liability for any claim arising out of these Terms or the Service shall not exceed the amount you paid for the Service in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Helm and its founder from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your account at any time if you breach these Terms or if continuing to provide the Service to you would expose Helm to legal or operational risk. We will provide reasonable notice when possible.

Upon termination, your right to access the Service ends. We will provide a reasonable opportunity (at least 30 days) for you to export your Customer Data before deletion.

12. Service modifications

Helm is in active development. We may modify, add, or remove features at any time. We will not materially reduce core functionality without reasonable notice. Continued use of the Service after changes constitutes acceptance of those changes.

13. Governing law

These Terms are governed by the laws of the Province of Nova Scotia, Canada, and the federal laws of Canada applicable therein. Any dispute arising from these Terms or the Service shall be resolved in the courts of Nova Scotia.

14. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, for material changes, notify you by email or through the platform. Your continued use of the Service after notice constitutes acceptance.

15. Entire agreement

These Terms, together with the Privacy Policy and any signed service agreement, constitute the entire agreement between you and Helm regarding the Service and supersede all prior or contemporaneous understandings.
